Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Daydream platform, including our applications, software, websites, and related services (collectively, the “Service”), operated by Daydream Ltd. (“Daydream,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms.

If you do not agree to these Terms, do not use the Service.

1. Eligibility

You must be at least 13 years old to use the Service. If you are under the age of majority where you live, you may use the Service only with the consent of a parent or legal guardian.

2. Accounts and Security

Some features require an account. You agree to:

• Provide accurate information and keep it updated.
• Keep your login credentials secure.
• Promptly notify us of any unauthorized access.

You are responsible for all activity under your account.

3. The Service and AI Disclosures

a. AI Output and Limitations

The Service uses AI and may generate outputs that are inaccurate, incomplete, or inappropriate. You are responsible for how you use outputs.

The Service does not provide professional advice (medical, legal, financial, or otherwise). Do not rely on outputs for decisions requiring professional judgment.

b. Companion Personalities

Daydream companions may be designed with personality, tone, and emotional expression. This does not mean companions are human, sentient, or capable of independent intent.

c. Safety, Integrity, and Guardrails

We may implement safety systems, filters, and usage limits, and may adjust behaviors or content to maintain safety, comply with law, and meet licensing or brand requirements.

4. Permissions and Device Features

Some features require permissions on your device. If you enable such features, you authorize the Service to access only what is necessary for the enabled functionality.

Examples may include:

• Microphone access for voice input.
• Overlay and accessibility-style permissions to display companions on screen or enable certain interactions.
• Local device storage to cache assets and settings.

You control permissions through your device settings. Some features may not work without required permissions.

You agree not to use the Service to capture, collect, or transmit sensitive data from other apps or websites in violation of law or these Terms.

5. Your Content

a. User Content

“User Content” includes content you submit or make available through the Service, such as text, voice, images, prompts, messages, and feedback.

b. Ownership

As between you and Daydream, you retain ownership of your User Content.

c. License to Operate the Service

You grant Daydream a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and display your User Content only as needed to:

• provide and operate the Service,
• maintain safety and security,
• comply with law,
• enforce these Terms,
• troubleshoot, maintain, and improve the Service.

d. Responsibility

You are responsible for your User Content and represent that you have the rights needed to submit it and that it does not violate law or third-party rights.

e. Feedback

If you provide feedback or suggestions, you grant us the right to use them without restriction or compensation.

6. Intellectual Property and Licensed Characters

a. Daydream IP and Third-Party IP

The Service may include Daydream content and third-party licensed content (e.g., character names, likenesses, artwork, trademarks) (collectively, “Licensed Characters”). All rights not expressly granted are reserved.

b. Personal, Non-Commercial Use

Subject to these Terms, you may use the Service and Licensed Characters for personal, non-commercial use only.

c. Restrictions

You must not:

• copy, modify, distribute, or create derivative works from the Service except where permitted by law,
• reverse engineer or attempt to extract source code,
• remove proprietary notices,
• use Licensed Characters to imply official endorsement or sponsorship outside the Service,
• use the Service or Licensed Characters for unlawful, hateful, sexually explicit, exploitative, or abusive purposes,
• use the Service output or Licensed Characters to train or fine-tune models, scrape at scale, or build competing datasets.

We may impose additional character-specific rules or limitations to comply with licensing requirements.

7. Digital Items and Optional Blockchain Functionality

Some features may include digital items (e.g., companions or accessories) tied to your account (“Digital Items”). In some cases, Digital Items may have ownership or provenance recorded on a public blockchain ledger, and you may be able to export them to a compatible wallet or custodial environment.

You acknowledge:

• blockchain transactions may be public and irreversible,
• third-party networks, wallets, and protocols are not controlled by Daydream,
• exporting a Digital Item does not grant you ownership of any underlying Licensed Character IP beyond the limited personal-use rights described in these Terms.

We may enable, disable, or modify blockchain-related functionality based on product decisions, legal requirements, and licensing constraints.

8. Payments, Subscriptions, and Purchases

Certain features may require payment (subscriptions, in-app purchases, Digital Items).

• Prices and terms will be presented at the time of purchase.
• Unless required by law or stated otherwise, payments are non-refundable.
• Subscriptions may renew automatically unless canceled before renewal.
• Payment processing may be handled by third-party providers; their terms may apply.

9. Acceptable Use

You agree not to:

• violate laws or regulations,
• harm or exploit minors,
• harass, threaten, or abuse others,
• attempt to bypass safety systems or access restricted portions of the Service,
• transmit malware, phishing, scams, or harmful code,
• interfere with or disrupt the Service,
• use automated means to scrape, overload, or abuse the Service.

We may remove content, limit features, suspend, or terminate accounts for violations.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, if required to protect the Service or others, or for legal or licensing reasons.

Upon termination, your right to use the Service ends. Sections that should survive (e.g., IP, disclaimers, limitation of liability, dispute resolution) remain in effect.

11. Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee uninterrupted service, error-free performance, or accuracy of AI outputs.

12. Limitation of Liability

To the maximum extent permitted by law:

• Daydream will not be liable for indirect, incidental, special, consequential, or punitive damages.
• Daydream’s total liability for any claim related to the Service will not exceed the amount you paid to Daydream in the six (6) months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations; in that case, limitations apply to the extent permitted.

13. Indemnification

You agree to indemnify and hold harmless Daydream and its affiliates from claims arising out of your use of the Service, your User Content, or your violation of these Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of Singapore, without regard to conflict of laws principles. Any disputes will be subject to the exclusive jurisdiction of the courts of Singapore, unless mandatory consumer protection laws require otherwise.

15. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice through the Service or other reasonable means. Continued use after changes take effect means you accept the updated Terms.
